Banking and Financial Law The Firm’s clients include two major Italian banking groups, which are assisted in drafting contracts, debt restructuring, project finance, securitization, advices to corporate and retail offices, guarantees and other financial matters, as well as in litigation, especially with regard to banking contracts, cheques, financial instruments and derivatives. |

Commercial Contracts, International Commerce, Joint Ventures The Firm advises and assists its Italian and foreign corporate clients in the management of their domestic and international business relations, including the drafting and negotiation of sale agreements, subcontracts, agency, distribution and franchising agreements, contracts for the provision of services, consultancy agreements, project finance, leasing and rental agreements, trademark, patent and know-how licensing agreements, agreements for the transfer of technology, bonds and warranties, letters of intent, joint ventures and the establishment of companies and their branches. |

Company Law and Acquisitions The Firm handles all the legal aspects of any kind of operation relating to companies and other legal entities, consortium and cooperation agreements (such as European Economic Interest Groupings), in Italy and abroad, including the drafting of articles of association and shareholders’ agreements, acquisitions and business transfers, due diligences and all aspects of business management. |

Bankruptcy Law The Firm assists companies in financial difficulties with drafting and negotiating debt restructuring and submitting applications for bankruptcy or for admission to other insolvency procedures and also assists creditors in fulfilling the various requirements of such procedures. Some of the Firm’s lawyers are appointed by bankruptcy courts. |

Civil and Foreign Litigation Thanks to a network of correspondent Italian and foreign law firms, the Firm assists its Italian and foreign clients at all levels of judgment, including before the Supreme Court, and in any ADR procedures, settlements and enforcements of judgments regarding debtors’ assets, both in Italy and abroad. The Firm disposes of a department devoted to credit collections. |

Arbitration The Firm's lawyers represent their corporate clients in Italian and international arbitrations, whether held under the auspices of arbitration institutions or on an ad hoc basis. The assistance provided encompasses the procedure for obtaining the recognition of foreign awards and the enforcement of the arbitral awards in general, both in Italy and abroad (see also the "Civil and foreign litigation " section). Some of the Firm's lawyers also act as arbitrators. |

Employment Law With the cooperation of specialized lawyers, the Firm assists companies in handling relations with their employees and agents, both in court and during the routine management and organization of human resources, in company restructuring and reorganizing processes (collective dismissals, use of the redundancy fund, enforcement of solidarity contracts) and in negotiations with trade unions. |
